End User License Agreement

This End User License Agreement (this "EULA") is a binding agreement between you and Michael Warren Bell, doing business as "Verodd" ("Verodd," the "Application Provider," "we," "us," "our"), a sole proprietorship based in the State of Georgia, USA. It governs your download, installation, and use of the Verodd iOS application, including all updates, revisions, and documentation (the "Licensed Application"). By downloading, installing, or using the Licensed Application, you agree to this EULA. If you don't agree, don't download or use the Licensed Application.

1. Acknowledgement

You and Verodd acknowledge that this EULA is concluded between you and Verodd only, and not with Apple, and that Apple is not responsible for the Licensed Application or its content. This EULA does not provide for usage rules for the Licensed Application that conflict with the Apple Media Services Terms and Conditions (the "Usage Rules") as of the date you accept this EULA; in the event of a conflict, the Usage Rules will prevail. Verodd, not Apple, is solely responsible for the Licensed Application and its content, to the extent not otherwise expressly provided in this EULA. Verodd is the "Application Provider" of the Licensed Application under Apple's terms.

2. Scope of license

Verodd grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules. The Licensed Application is licensed for your personal, non-commercial use. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time, and you may not transfer, rent, lease, lend, sell, redistribute, or sublicense the Licensed Application.

Except to the extent that the following restriction is prohibited by applicable law or permitted by the licensing terms governing any open-source components included in the Licensed Application, you may not copy, reverse-engineer, disassemble, decompile, decrypt, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof. Any attempt to do so is a violation of Verodd's rights. If you sell your Apple-branded device to a third party, you must remove the Licensed Application before doing so. Verodd reserves all rights in and to the Licensed Application not expressly granted to you under this EULA.

3. Maintenance & support

Verodd is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as Verodd specifies in the Terms of Use, or as required under applicable law. You and Verodd acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application. For support, contact [email protected].

4. Warranty

Verodd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. As between Verodd and Apple, any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Verodd's sole responsibility.

EXCEPT AS EXPRESSLY STATED ABOVE, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. THE DISCLAIMERS, LIMITATION OF LIABILITY, AND "ESTIMATES, NOT ADVICE" TERMS IN THE TERMS OF USE (SECTIONS 3 AND 11–13) APPLY TO THE LICENSED APPLICATION AND ARE INCORPORATED HERE BY REFERENCE.

5. Product claims

You and Verodd acknowledge that Verodd, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of it, including but not limited to: (a) product-liability claims; (b) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation, including in connection with the Licensed Application's use of any third-party components. This EULA does not limit Verodd's liability to you beyond what is permitted by applicable law.

6. Intellectual property

You and Verodd acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party's intellectual-property rights, Verodd, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual-property-infringement claim. The Licensed Application, including the Verodd™ name and logo (U.S. trademark application serial no. 99901394) and the Verodd Score methodology, is owned by Michael Warren Bell (DBA Verodd) and protected by intellectual-property laws; see Terms of Use, section 9.

7. Legal compliance

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You also agree that you will comply with all applicable laws in your use of the Licensed Application, including the requirement that you be at least 18 years old and of legal gambling age where you live (see Terms of Use, section 2).

Any questions, complaints, or claims regarding the Licensed Application should be directed to the address above. Verodd's process for resolving disputes — including the informal-resolution step, binding individual arbitration, and the 30-day arbitration opt-out — is set out in Terms of Use, section 16.

9. Third-party terms

You must comply with applicable third-party terms of agreement when using the Licensed Application — for example, your wireless data-service agreement, and the terms of Apple (Sign in with Apple, iCloud, the App Store) and any other third-party services the app relies on. The Licensed Application's use of third-party services is further described in the Terms of Use and Privacy Policy.

10. Third-party beneficiary

You and Verodd acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of this EULA.
